Pretty good

This is very informed and had a lot of traditional rules and expectations. It was good to get an understanding of the “expected” rules of engagement. Remember business is very negotiable and just cause something is not customary doesn’t mean it can’t be done.

Useful and understandable

This can be a great primer for a buyer or seller expecting to engage (or maybe who has already engaged) a business attorney in this setting. A good contracts book on a practical level will prompt the listener to think of all kinds of important stuff that would not be obvious. This book satisfies that need. It illuminates all kinds of angles of what is going on, who is at the table, and what each player is doing. The earlier this is learned, the better. This is the second book I've seen by this author, both being of very high quality and value, and I hope he will continue with titles at this level.

Worth the Listen, Legal View on ETA/SME M&A

I was looking for more information to prepare for my first small business acquisition / ETA deal. I would add this book to a list of should reads, along with the HBR Guide to Buying a Small Business and Buy Then Build. The content in this book is very focused on legal issues. If you want to be able to speak more intelligently with your lawyer, maybe even have some good questions for them, this is a good read/listen.

Some of my takeaways:
* What price is reasonable to pay for a lawyer on a small deal?
* What is "normal and customary" in your Purchase Agreement?
* Various jargon/deal points that were new to me: "tipping basket", etc.
* Representations and Warranties -> strong chapter towards the end of the book. A lot of things here that I hadn't thought about before this book.

I suspect that there is probably something in the book for everyone (even if you have done deals before), but the main focus is on trying to communicate the subject matter to non-lawyers (which makes this very accessible).

I will listen at least a couple more times. If you learn one thing here that helps you save 1 hour during your deal, then the book already paid for itself. I was on the fence based on other reviews, glad I got this book!

The audiobook narration is pleasant to listen to.

Pathetic

This guy talks like your typical arrogant lawyer. If he could condescend anymore I’d be shocked. He slams other professionals and business owners like lawyers don’t ever bs clients to pad their bill
